Google Play is a trademark of Google Inc. The Android robot is reproduced or modified from work created and shared by Google and used according to terms described in the Creative Commons 3.0 Attribution License. We do not grant, assign, license or transfer any right in or to the Website or the Content to you; all such rights are expressly reserved.

Your Use of the Website

You represent and warrant that you will comply with all applicable laws and regulations while using the Website and that you will access and use the Website solely for legitimate business purpose. You are acting on behalf of the legal entity which you represent, and warrant that all information you provide to us is complete and accurate.  You further warrant that you will not distribute, modify, copy, transmit, reuse, reproduce, publish, license, create derivative works from, transfer, sell, or otherwise use Content without our written permission. You will not use the Website to post or transmit any virus or program which may harm use or to access or use the Website by crawlers, scrapers or other robots for purposes of data collection or data mining. You will not use the Website to violate the legal rights of others or harvest or collect personally identifiable information. You represent and warrant that any information you provide in connection with your use of the Website is true, accurate, and complete. Under no circumstances are non-employees to be given access to this Website or provided with your Credentials.

Confidentiality

This Website and all Content is considered our confidential information.  You agree to treat the Website and its Content as confidential in accordance with the Nondisclosure Agreement or similar document you have signed with us.  These Terms of Use supplement, but do not supersede, the DSSI Electronic Commerce Supplier Agreement (“DSSI Agreement”), Approved Supplier Relationship Agreement (“Supplier Agreement”), or similar relationship agreement (“Ongoing Agreement”); the Website and all Content are considered Confidential under the DSSI Agreement, Supplier Agreement, and Ongoing Agreement.

Indemnity

You agree to defend, indemnify, and hold harmless Direct Supply and its affiliates, subsidiaries, employees, officers, directors and agents from and against all claims and damages (including without limitation attorney fees) arising out of your use of the Website, any violation of these Terms of Use, or any allegation that any information which you supplied to us or uploaded to the Website (“Your Information”) infringes or violates the copyright, trademark, trade secret, privacy or other intellectual property or other rights of any third party.
